Terms of Service - Picture It, Arizona LLC

This document outlines the terms and conditions of service between Picture It, Arizona LLC (hereafter referred to as "Photographer," "we," "us") and the undersigned party (hereafter referred to as "Client," "you") for professional real estate photography and related services. By booking a service with us, you agree to be bound by these terms.

1. Services

The Photographer will provide professional real-world photography and/or videography services (the "Services") as agreed upon at the time of booking. Services may include interior and exterior photos, aerial/drone photography, video tours, 3D virtual tours, and virtual staging. The primary purpose of these images is for marketing the property for sale or lease.

2. Copyright & Licensing

Copyright Ownership: The Photographer, Gregory Goodrich / Picture It, Arizona LLC, is and will remain the sole and exclusive owner of all copyrights for all images and media produced. All images are protected by United States Copyright Law (USC Title 17).

Licensing: Upon full payment of the invoice, the Client is granted a limited, non-exclusive, non-transferable license to use the images for the sole purpose of marketing the specific property for which the services were hired.

License Duration: This license is valid for the duration of the listing with the original Client, not to exceed one (1) year from the date of delivery.

Usage Restrictions: The license does not permit the transfer or sale of the images to any third party, including but not limited to another agent, brokerage, builder, architect, stager, or the future property owner. Any use of the images by a third party is a copyright infringement. Third parties wishing to use the images must contact the Photographer to purchase their own license.

3. Booking & Scheduling

Appointments are confirmed upon receipt of a confirmation email or booking acceptance from the Photographer.

The Client is responsible for ensuring the property is ready at the scheduled time and for providing access to the property.

4. Cancellation & Rescheduling Policy

Cancellation/Rescheduling by Client:

More than 24 hours notice: Full refund or rescheduling with no fee.

Less than 24 hours notice: Up to 50% of the session fee may be charged.

On-site cancellation (Photographer arrives and cannot shoot due to lack of access or property not being ready): The full session fee will be charged.

Weather Policy: In the event of unfavorable weather conditions (rain, high winds, etc.), the Photographer reserves the right to reschedule exterior and/or aerial photography. If rescheduling is not possible, a refund will be provided for any services that could not be rendered.

5. Property Preparation

The Client is responsible for ensuring the property is prepared for photography prior to the Photographer's arrival. The property should be clean, decluttered, and staged.

The Photographer will shoot the property "as-is." We are not responsible for cleaning, moving furniture, or extensive staging.

All pets must be secured and out of the way to ensure the safety of our team and the efficiency of the shoot.

6. Payment Terms

Payment Obligation: Payment is due in full for all Media and Services (including but not limited to photography, video, 3D tours, and floor plans) prior to the delivery of final, high-resolution, or un-watermarked files. The service fee is considered earned in full upon completion of the scheduled appointment, regardless of whether the Client chooses to use the Media, loses the listing, or the property is withdrawn from the market.

Late Fees: Payments not received within 14 days of the invoice date will be subject to a late fee of 10% per month.

Licensing: The usage license for any and all Media is not activated until full payment is received.

7. Media Delivery

Media will be delivered electronically via a link to an online gallery. Delivery timelines are as follows:

Professional Photographs (including aerials) & 2D Floor Plans: Delivered by the end of the next business day following the appointment.

All Other Media: (e.g., video tours, 3D virtual tours, aerial videos) Delivered within 48-72 business hours after the appointment.

Gallery Expiration & Archiving: The online gallery will remain active for 90 days. It is the Client's responsibility to download and securely store all purchased media before the gallery expires.

Archival Disclaimer: Picture It, Arizona LLC is a production service, not an archival or cloud-storage service. While we may maintain internal backups, we are not responsible for the loss or deletion of Media once the 90-day gallery period has ended. If a Client requests a re-upload of archived Media after the gallery has expired, a $50.00 retrieval fee will apply, provided the Media is still available in our offline archives.

The Photographer will make every effort to deliver high-quality media that accurately represents the property. Standard edits (color correction, brightness, contrast) are included. Advanced editing or digital object removal is available for an additional fee.

8. Photographer’s Self-Promotion

Portfolio Rights: The Photographer reserves the right to use any Media created under this agreement for the purpose of self-promotion, including but not limited to: the Photographer’s professional portfolio, website, social media accounts, and marketing materials.

Opt-Out: If the Client or Property Owner requests in writing that the Media not be used for the Photographer’s self-promotion (e.g., for high-profile or celebrity listings), the Photographer will honor that request provided it is received prior to the date of the shoot.

9. Sign Post Installation Services

Scheduling Requirement: To maintain operational efficiency, sign post installations must be scheduled to occur at the same time as a photography or media session. Requests for standalone installations outside of a scheduled media session may be subject to a $25-$50 Trip Fee.

Utility Clearance: The Client is responsible for ensuring the installation area is free of underground hazards. While the Photographer/Installer will exercise reasonable care, Picture It, Arizona LLC is not liable for damage to underground utilities, including but not limited to: irrigation lines, landscaping lights, internet cables, or water lines. It is the Client’s responsibility to mark any known private lines prior to installation.

Property Owner Permission: By requesting an installation, the Client warrants that they have the express permission of the property owner to have a sign post installed in the yard.

Missing or Damaged Equipment: All sign posts, stakes, and hardware remain the property of Picture It, Arizona LLC. The Client is responsible for any lost, stolen, or damaged equipment. A $100 Replacement Fee will be charged for any post not returned or found to be damaged beyond normal wear and tear at the time of removal.

Extended Use Policy: There are no additional fees for the extended use of a sign post during the duration of a listing. However, the post must remain at the original property address where it was installed. Moving a post to a different property or listing is strictly prohibited and will be treated as a lost post, triggering the full Replacement Fee.

Post Removal: It is the Client's responsibility to request a post removal via phone, text, email or our online booking system once the listing has closed or expired. 

HOA Compliance: The Client is responsible for ensuring that the sign post and its placement comply with all local Homeowners Association (HOA) rules and regulations.

10. Limitation of Liability

The Photographer's liability for any loss, damage, or failure to deliver the images shall be limited to the total amount paid for the service.

The Photographer is not liable for any indirect or consequential damages arising from the use of the images.

11. Governing Law

This Agreement shall be governed by the laws of the State of Arizona. Any legal action or proceeding shall be held in Pinal County, Arizona.

12. Entire Agreement

This document constitutes the entire agreement between the Photographer and the Client and supersedes all prior agreements and understandings, whether written or oral.
